Us/we: This is Cloud Legal Solutions Limited, and any subcontractors.
You/your: This is you, the user of the service.
Website: This includes all aspects of all websites provided by Cloud Legal Solutions Limited, including any and all logged-in and/or secure areas.
Services :Any service that you require us to perform. For the sake of clarity, this includes maintenance of the website.
User: A user of the website, whether registered or not.
By requiring us to perform services, you accept these terms and conditions. If you do not agree with any of the terms and conditions then let us know.
We reserve the right to alter or modify the terms and conditions at any time, such change to be effective from date of posting on the website. As a user (whether registered or not), you must comply with all current terms and conditions at any time. Your continued use of the website indicates your acceptance of these terms. Provision of services
We will undertake services to you in accordance with your instructions. You agree to pay us at the rates on our website and in accordance with these terms and conditions. You agree to provide us with documents either in hard copy or electronically. We operate an OCR-based scanning service and as such our text-recognition is not 100% accurate. We will endeavour to ensure text recognition is as accurate as possible.
We will endeavour to return any original files to you in the same condition that you provided to us, but we cannot guarantee that documents are returned in the same condition (for example, paper quality may be poor or documents may have been unstapled and re-stapled).
Accuracy of data
We will endeavour to ensure data entered by us either by performing services or on the website is accurate and up-to-date. Ultimately it is your responsibility to check all data and entries and ensure it is accurate and we accept no liability for errors, misdescriptions or otherwise.
We will endeavour to, but make no guarantee that, the website will operate continuously without faults, or free of viruses or any other faults.
As a user (whether registered or not) you must comply with relevant New Zealand legislation and these terms and conditions. Failure to do so may result in immediate cancellation, termination or suspension of membership without notice. We take no responsibility that search results are 100% accurate. As we use a text-recognition software to generate search results, the results will vary depending on accuracy of original supplied files.
Passwords and access
Your email address and password is used to log in to the secure area of the website. A password will be automatically generated and emailed to you. You can change the password at any time by logging in to the website. If you are not a registered user but have been supplied with a password to access documents, you will not be able to change the allocated password. You must not let anyone access the website using your email and password.
You must keep your password confidential and secure at all times and you accept responsibility for any unauthorised use where you fail to keep your password confidential and secure.
You are responsible for the use of your password that you provide to any third parties including your employees and any other users you authorise to access the Portal.
By becoming a registered user, we reserve the right to send you periodic emails (such as newsletters or information about your activity on the website). If you do not wish to receive these emails, email email@example.com with your unsubscribe request.
You must not provide documents (either online or offline) that you do not have the consent or authority to provide, i.e. you must be legally entitled to access the data and have authority from the ultimate copyright-holder of the data. Where you provide documentation to us in hard form, you authorise us to scan the documentation. We will endeavour to return documents in their original state, but do not guarantee this.
You consent to the email address that you are registered with will be displayed on the site in the list of users who have been granted access to view the documents.
Sharing of documents
We have a system whereby, if you have the requisite access, you can assign and remove users in a particular project. You accept full responsibility for assigning any other user to a particular project. You accept full responsibility for removing any other user on a particular project.
If at any time this website provides links to external websites, either through email or website or other communication, we make no guarantee or warranty as to content, reliability or safety or otherwise of external site(s) supplied.
We will never sell or pass on your details stored on our server to any third parties unless as expressly stated in this paragraph. However you agree that we may use your details when dealing with complaints, or to update membership details. If necessary we may discuss website content with relevant law-enforcing agencies if we believe this is necessary.
You may at any time change your password through the dashboard of the website. You may update your details at any time by emailing firstname.lastname@example.org.
We use SSL (secure sockets layer) protocol to ensure the safety and integrity of documents.
Orders placed with us
You are required to place orders by filling out our online order form. The placement of an order via our online order form does not constitute acceptance of your order. Your order will be accepted when you receive an acceptance either by phone after placing your order or an email confirmation from us. Acceptance of orders is at our sole discretion. We may require further information before we accept your order.
Access to documents via our website is a free service.
We have no intention to, but reserve the right to, review and introduce pricing for access to documents at any stage. If this happens, you will be notified in advance.
The prices listed for services on our website are exclusive of GST unless otherwise stated. If prices are not specified, we will provide you with an estimate of the cost for carrying out the work or, where an estimate is not possible, with our hourly charge-out rate.
The prices listed on our website may be altered at any time and all products and services are sold subject to the prices applying at the time that we accept your order.
We accept no liability for any loss, damage or otherwise suffered as a result of using or relying on our website.
Your use of the website is at your own risk. The website, content and materials are provided on an “as is” and “as available” basis. Under no circumstances, including but not limited to negligence, shall we be liable for your reliance on any such information nor shall we be liable for any direct, incidental, special, consequential, indirect or punitive loss or damages that result from the use of, or the inability to use, this website.
